Schneider Electric Agrees to Acquire PTC in $22.6 Billion Deal

Schneider Electric has agreed to acquire U.S. industrial software company PTC in an all-cash transaction valued at approximately $22.6 billion, marking the French group’s largest acquisition to date and significantly expanding its presence in industrial software and artificial intelligence.

Under the definitive agreement, Schneider Electric will pay $205 per PTC share in cash, representing an enterprise value of approximately $23.7 billion. The transaction is expected to close by the third quarter of 2027, subject to approval from PTC shareholders and relevant regulators.

The acquisition brings together Schneider Electric’s expertise in energy management and industrial automation with PTC’s software portfolio, which helps manufacturers manage product design, engineering, production and lifecycle data. PTC’s technologies are used by industrial companies to connect information across different stages of product development and manufacturing.

For Schneider Electric, the transaction represents a major step in its strategy to strengthen its digital capabilities as manufacturers increasingly adopt connected systems, automation and AI-driven tools. Access to PTC’s engineering and product data is expected to support the development of industrial AI applications and create closer links between software and physical operations.

The French company expects the combination to generate approximately €250 million in annual cost synergies and around €800 million in revenue synergies, reflecting opportunities to integrate technologies and expand services across the companies’ respective customer bases.

The deal also comes as demand for industrial digitalisation continues to grow. Manufacturers are investing in software that can improve efficiency, manage increasingly complex production environments and make greater use of operational data, while the expansion of AI is increasing the strategic importance of high-quality engineering information.

PTC CEO Neil Barua described the agreement as an important new chapter for the company, while Schneider Electric has positioned the acquisition as an opportunity to create a broader technology platform spanning electrification, automation and industrial software.

If completed as planned, the transaction will significantly increase Schneider Electric’s exposure to software and deepen its role in the digital transformation of industrial companies worldwide, while giving PTC access to Schneider’s extensive global customer and technology ecosystem.
